1. Acceptance of Terms

By accessing or using Vessential.ai's website, Digital Employees, or any related services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Vessential.ai provides AI-powered Digital Employees that automate customer interactions including call answering, lead response, appointment booking, follow-up, reputation management, and CRM updates. Services are offered in three tiers: Lead Recovery, Growth System, and Revenue Engine, each with features described on our pricing page.

3. Accounts & Billing

• You must provide accurate business and contact information when subscribing.
• Monthly subscription fees are billed in advance. Setup fees are one-time charges.
• All fees are non-refundable except where required by law.
• You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle.
• You may cancel your subscription with 30 days' written notice.

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or to violate any law.
• Send spam, unsolicited marketing, or abusive communications through our platform.
• Attempt to access, disrupt, or compromise our systems or another user's data.
• Reverse engineer, decompile, or redistribute our software or AI models.
• Misrepresent Vessential.ai or our services to your clients.

5. Intellectual Property

All content, software, AI models, branding, and materials provided by Vessential.ai are our intellectual property. You receive a limited, non-transferable license to use our services for your business operations during your subscription term. You retain ownership of all data you provide to us.

6. Data & Privacy

Your use of our services is also governed by our Privacy Policy. You are responsible for ensuring you have proper consent to share any contact data (leads, customers) with our platform for automated communication.

7. SMS & Voice Consent

By providing phone numbers for use with our Digital Employees, you confirm you have consent to send automated SMS and voice messages to those numbers. You are responsible for compliance with the Telephone Consumer Protection Act (TCPA) and all applicable messaging regulations, including honoring opt-out requests.

8. Service Availability

We strive for 24/7 availability but do not guarantee uninterrupted service. We may experience downtime for maintenance, updates, or events beyond our control. We are not liable for any losses resulting from service interruptions.

9. Limitation of Liability

Vessential.ai's total liability for any claim arising from these services is limited to the amount you paid in the preceding 12 months. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.

10. Indemnification

You agree to indemnify and hold harmless Vessential.ai and its affiliates from any claims, damages, or expenses arising from your misuse of the services, violation of these Terms, or infringement of third-party rights.

11. Termination

We may suspend or terminate your access if you violate these Terms or fail to pay fees. Upon termination, your data will be retained for 30 days to allow export, then deleted unless retention is required by law.

12. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Las Vegas, Nevada.

13. Changes to These Terms

We may update these Terms at any time. We will post the updated version on this page with a revised "last updated" date. Continued use of our services after changes constitutes acceptance.
